Welcome to SignalCore. These Terms of Service ("Terms") govern your access to and use of the SignalCore platform (the "Service"), operated by Ai Funnelabs Group LLC (Arabic: ايه آي فنيلابس جروب ذ م م), a company registered in Sharjah Media City Free Zone (Shams), United Arab Emirates, with Tax Registration Number (TRN) 104986634400001 ("SignalCore", "we", "us", "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, you agree to be bound by these Terms and our Privacy Policy. You represent that you have the authority to bind your business to these Terms. The Refund Policy set out in Section 9 forms an integral part of these Terms.
2. B2B Nature of the Service
SignalCore is a service intended exclusively for businesses, professionals, and self-employed individuals acting within the scope of their economic, commercial, or professional activity. The Service is not directed at consumers under any applicable consumer protection law, including but not limited to UAE Federal Law No. 15/2020 on Consumer Protection, EU Directive 2011/83/EU, the UK Consumer Rights Act 2015, or the California Consumer Privacy Act (CCPA/CPRA).
By registering, you represent and warrant that:
- You are contracting on behalf of a company, entity, or as a professional/self-employed individual in active practice.
- You have the legal authority to bind such entity to these Terms.
- You are not acting as an end consumer and, therefore, consumer protection rules — including any right of withdrawal or cooling-off period — do not apply to you.
If you register providing business or professional details that later prove to be false or inaccurate, SignalCore reserves the right to suspend the account without any right to refund.
3. Description of Service
SignalCore provides an AI-powered platform for lead management, communication automation, and channel integration. We offer features including AI agents, workflow automation, multi-channel messaging (WhatsApp, Instagram, SMS, voice), and third-party integrations.
4. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when registering, including valid business or professional details (tax ID or equivalent registration number, registered name, and billing address).
5. Acceptable Use
You agree not to:
- Use the Service for illegal purposes or to violate any applicable laws.
- Send spam, unsolicited messages, or engage in harassment.
- Attempt to circumvent security measures or access systems you are not authorized to use.
- Use the Service to distribute malware or harmful content.
- Violate the terms of any connected third-party service (e.g., Meta, Stripe).
- Use the Service in breach of applicable export control, sanctions, or anti-money-laundering regulations (including UAE, UN, EU, UK, and US OFAC sanctions regimes).
We may suspend or terminate accounts that violate these rules.
6. Payment and Subscription
Paid plans and credits are billed according to the pricing displayed at the time of purchase. Subscriptions renew automatically unless cancelled. All fees are stated exclusive of any applicable taxes (including UAE VAT where applicable), which will be added where required by law. Refunds are handled exclusively according to the Refund Policy set out in Section 9.
7. Data Protection and International Compliance
SignalCore processes personal data in accordance with its Privacy Policy and applicable data protection laws, including:
- UAE Federal Decree-Law No. 45/2021 on the Protection of Personal Data (PDPL).
- EU General Data Protection Regulation (GDPR), where you or your end users are located in the European Economic Area.
- UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018, where applicable.
- California Consumer Privacy Act (CCPA/CPRA) and other US state privacy laws, where applicable.
- Any other data protection laws applicable to your use of the Service.
Where you use the Service to process personal data of third parties, you act as data controller and SignalCore acts as data processor. A Data Processing Agreement (DPA) is available upon request and is required for customers subject to GDPR, UK GDPR, or equivalent regimes.
8. Limitation of Liability
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, SignalCore is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability is limited to the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or wilful misconduct.
9. Refund Policy
9.1 General Principle
SignalCore is a B2B digital service delivered on-demand. Upon purchase of any plan, add-on, or credit, the Service is made available to you immediately and, consequently, all payments are final and non-refundable, except in the cases expressly set out below.
9.2 Monthly and Annual Subscriptions
Subscriptions are billed in advance and are non-refundable, in whole or in part, once the billing period has started. You may cancel renewal at any time from Settings: cancellation stops future charges but does not generate a refund for the current period. You will retain access to the contracted features until the end of the period already paid for.
9.3 Credits and Usage-Based Charges
Prepaid credits (messaging, AI usage, voice minutes, etc.) are non-refundable once purchased, whether consumed or not. Credits do not expire during an active subscription but are forfeited upon account termination or downgrade to a plan that does not support them. Credits have no cash value and cannot be transferred between accounts.
9.4 One-Time Services and Add-ons
Setup fees, onboarding services, custom integration work, and any other one-time charges are non-refundable from the moment their provision begins.
9.5 Third-Party Costs
Fees passed through from third-party providers (WhatsApp/Meta conversation charges, Stripe processing fees, SMS carrier fees, telephony costs, etc.) are non-refundable under any circumstances, as these are incurred directly with the corresponding provider.
9.6 Plan Changes and Downgrades
Plan upgrades are prorated and billed immediately. Plan downgrades take effect at the beginning of the next billing cycle and do not generate any refund of amounts already paid for the current cycle.
9.7 Accounts Terminated or Suspended for Breach
No refunds will be issued where the account is suspended or terminated due to breach of these Terms, misuse of the Service, fraudulent activity, or violation of third-party provider terms (Meta, Stripe, telecom operators, etc.).
9.8 Exceptional Refund Cases
We will only issue refunds in the following cases:
- Duplicate charges or other billing errors attributable to SignalCore.
- Unauthorized charges resulting from a confirmed security incident on our systems.
9.9 How to Request a Refund in Eligible Cases
Send your request to info@signalcore.ai including:
- Account email and workspace name.
- Invoice number or transaction ID.
- Reason for the request and supporting documentation, where applicable.
We will respond within 5 business days. Approved refunds will be credited to the original payment method within 5 to 10 business days from approval.
9.10 Chargebacks
Please contact us before initiating a chargeback with your bank or card issuer. Chargebacks filed without prior contact may result in immediate suspension of the account pending resolution, as well as the recovery of related administrative costs.
10. Termination
You may cancel your account at any time from Settings. We may suspend or terminate access for violation of these Terms or for operational reasons, with reasonable notice where feasible. Termination does not generate any refund of amounts already paid, except as expressly provided in the Refund Policy.
11. Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated via email or dashboard notification. Continued use after changes constitutes acceptance. The version applicable to each purchase will be the one in force at the time payment was made.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Sharjah, including the regulations of Sharjah Media City Free Zone (Shams), without regard to conflict-of-law principles.
12.2 Mandatory Local Rights (Non-Waivable Protections)
Nothing in these Terms is intended to exclude or limit any rights granted to you under the mandatory laws of your country of establishment that cannot be waived by contract. Where such mandatory rights conflict with these Terms, those mandatory rights shall prevail, but only to the minimum extent necessary to comply with such laws, and the remainder of these Terms shall remain in full force and effect.
12.3 Dispute Resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms shall be resolved as follows:
- Good faith negotiation. The parties shall first attempt to resolve the matter through good faith negotiation for a period of 30 days.
- Arbitration. If the dispute is not resolved through negotiation, it shall be finally settled by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules in force at the time of the request for arbitration. The seat of arbitration shall be Dubai, UAE. The language of the arbitration shall be English. The tribunal shall consist of a sole arbitrator, unless the amount in dispute exceeds USD 500,000, in which case three arbitrators shall be appointed.
- Injunctive relief. Notwithstanding the above, either party may seek urgent injunctive or equitable relief before the competent courts of Sharjah to protect its intellectual property rights, confidential information, or to prevent material breach.
12.4 Export Control and Sanctions
You represent that you are not located in, or a resident of, any country subject to comprehensive UAE, UN, EU, UK, or US sanctions, and that you are not included on any restricted-party or sanctions list. You agree to comply with all applicable export control and sanctions laws when using the Service.
13. General Provisions
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
- No waiver. Failure to enforce any right under these Terms shall not constitute a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and any order form or DPA, constitute the entire agreement between the parties regarding the Service.
- Language. These Terms are drafted in English. Any translation is provided for convenience only; in case of conflict, the English version shall prevail.
